These Terms govern your access to, and use of, all content, products, and services available at Right Turn Software LLC (the "Service") operated by Right Turn Software LLC ("us", "we", or "our").
Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules and policies published and that may be published from time to time by us.
Please read the Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to be bound by these Terms. If you do not agree to any part of the terms of the Agreement, then you may not access or use our Services.
Description of Service
Right Turn Software LLC provides custom software development and related services, including but not limited to design and development of web applications, systems integration, process automation, internal tools, and technical consulting ("Services"). All services are detailed in a separate Statement of Work (SOW) or client agreement, which will outline specific deliverables, timelines, and fees.
Payment Terms
Fees for Services are due as specified in the client agreement. Services may be billed on a fixed-fee, milestone, or recurring basis and are payable as outlined in the agreement. Late payments may result in suspension of Services and/or late fees. All fees paid are generally non-refundable, except where otherwise required by law or explicitly stated in the agreement.
Client Obligations
The client agrees to provide timely access to necessary resources, including but not limited to relevant systems, application programming interfaces (APIs), infrastructure, documentation, and subject matter experts. Delays in providing these resources may impact project timelines and results. The client is responsible for the accuracy and legality of all provided materials.
Intellectual Property
Upon full payment, the client shall own the specific deliverables created by Right Turn Software LLC as outlined in the SOW. However, Right Turn Software LLC retains the right to use the work for promotional purposes and retains ownership of all pre-existing materials, proprietary tools, software, and strategies used in the provision of services.
Confidentiality
Both parties agree to keep confidential all non-public information obtained during the course of the service agreement. This includes business strategies, financial data, customer lists, and system performance data, usage analytics, and project materials related to the software solutions we build or support. This obligation extends beyond the termination of the agreement.
Termination
Either party may terminate the agreement with 30 days written notice. We may terminate or suspend your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately, for reasons including but not limited to a breach of these terms.
Disclaimer of Warranties
Our Services are provided "AS IS" and "AS AVAILABLE". Right Turn Software LLC and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability and fitness for a particular purpose. While we strive to deliver excellent results, we do not guarantee specific outcomes such as specific productivity gains, revenue increases, or performance metrics, as these are subject to factors beyond our control.
Limitation of Liability
In no event will Right Turn Software LLC, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) for interruption of use or loss or corruption of data.
Changes
Right Turn Software LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will provide at least 30 days notice before the changes take effect.
